Maast Promotion at SaaStr 2023 Official Rules

1. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS PROMOTION. PURCHASING A PRODUCT OR SERVICE FROM MAAST, LLC OR SYNOVUS BANK IS NOT REQUIRED AND WILL NOT IMPROVE AN INDIVIDUAL’S CHANCES OF WINNING WITH SUCH ENTRY. ENTRY OF THE PROMOTION AND THE ODDS OF WINNING ARE NOT, DIRECTLY OR INDIRECTLY, RELATED TO OR DEPENDENT ON THE BALANCE IN THE PARTICIPANTS’ DEPOSIT ACCOUNT OR THE DURATION OF THE ACCOUNT BALANCE.
2. Promotion Period: The Maast Promotion at SaaStr (the “Promotion”) begins at 10:00 AM PT and ends at 5:30 PM PT each day from September 6, 2023 through September 8, 2023 (the “Promotion Period”).
3. Sponsor: This promotion is sponsored by Maast, LLC, a wholly owned subsidiary of Synovus Bank, with its headquarters at 3400 Overton Park Dr, Atlanta, GA 30339.
4. Eligibility: Winners must be (The Promotion is open only to residents of the United States and is void where prohibited or taxed):
   • an individual who is a legal resident of the United States at the time of entry and determination of the winner; and
   • at least 18 years of age at the time the winner is determined; and
   • not an employee of Maast, LLC or Synovus Bank or any division of Synovus Bank, or of Synovus Financial Corp. or any of its affiliates or subsidiaries, or advertising and promotion agencies, and webmasters/suppliers; and
   • not an immediate family member (spouse, parent, child, or sibling or spouse of any of them) of, or other individual living in the same household as, an employee of Maast, LLC, Synovus Bank or any division of Synovus Bank, or of Synovus Financial Corp. or any of its affiliates or subsidiaries or advertising and promotion agencies, and webmasters/suppliers.
5. Prize: In order to claim a prize, the participant must have a “Maast Key” distributed at the 2023 SaaStr Annual event and be played as set forth herein. A winning participant will receive: (i) September 6, 2023 a pair of AirPods Max™* (each $499.99 AVP; only two participants will win); (ii) on September 7, 2023 a PS5^®* (each $499.99 AVP; only two participants will win); and (iii) on September 8, 2023 an electric bike ($1,249.00 AVP; only one participant will win). Total ARV of all prizes to be awarded: $3,500.00. Odds of winning depend on the number of participants based on the number of hidden Maast Keys found and tested (see below). The winner of a prize is solely responsible for all applicable federal, state, and local income, sales, use, ad valorem and other taxes on the prize or the winning of the prize. Limit one (1) prize per person, per household. In no event will more than the quantity of prizes stated herein be awarded. Any unawarded, unclaimed, or forfeited prize will not be awarded.
6. How to Play: Throughout the Promotion Period Maast representatives will be distributing and placing keys around the event venue. Bring the Maast Key to the Maast Booth #0113 and attempt to unlock a safe. If the Maast Key unlocks the safe the participant is considered a winner. There will be a total of 1,500 Maast Keys hidden. Winners must complete an “Affidavit of Eligibility and Release of Liability Release”. Non-compliance with any of the foregoing or these Official Rules may result in disqualification and, time permitting, awarding of prize to an alternate potential winner, at Sponsor’s sole discretion.
7. General conditions: By participating in the Promotion, each participant agrees to be bound by these Official Rules. Winners must each complete and sign an “Certification of Eligibility and Release”; provide acceptable photo identification, including Social Security number; complete and sign applicable tax reporting forms; agree to the use of his/her name, voice, image and likeness for advertising, publicity, promotional or other purpose in any and all media or format now known or hereafter devised throughout the world, in perpetuity, without limitation and without further compensation, consideration, permission or notification to participants or any third parties (unless prohibited by law), and to disclosure of his/her name to persons who request the name of the winners of the Promotion; and release Maast, LLC its affiliates, and its and their directors, officers and agents, from any liability arising out of or related to this promotion or the ownership, operation, repair, or maintenance of the prize, and any breach of warranty in connection with the prize. No transfer or assignment of a Maast Key or prize is permitted.
8. Sponsor’s reservation of rights: Maast, LLC reserves the right to cancel or modify the Promotion without liability at any time at its discretion for any reason the bank determines justifies modification or cancellation, and, in its sole discretion, to modify, terminate or suspend this Promotion at any time and proceed to select a winner in a manner it deems fair if Maast, LLC determines, in its sole discretion, that the administration, security, fairness or proper play has been compromised.  Sponsor reserves the right, in its sole discretion, to disqualify any entrant it finds to be: (1) tampering or attempting to tamper with or impair, the process or the operation of this Promotion; (2) violating the Official Rules; (3) acting in a way detrimental to Maast Inc.'s reputation, as determined by Maast, LLC in its sole discretion. Any false information provided within the context of this Promotion by any entrant concerning identity, postal address, ownership of right or non-compliance with Official Rules may result in the immediate elimination of the entrant from this Promotion. Notice of any such cancellation or modification will be posted on the bank’s web site, https://joinus.maast.com/saastr2023.
9. Class Action Waiver. To the fullest extent permitted by applicable law, each participant participating in the Promotion, and each winner, agrees that any and all claims, actions, demands, and causes of action (collectively "Claims") arising out of or in any way relating to this Promotion or any Prize shall be made individually, and not as a member of a class or otherwise in any form of class action, and exclusively by arbitration pursuant to the Rules of JAMS, then effective, and (1) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion but in no event attorneys’ fees; and (2) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages (other than for actual out-of-pocket expenses), and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability.
10. Limitation on Liability. To the fullest extent permitted by applicable law, each participant participating in the Promotion, and each winner, agrees that any and all Claims, judgments, and awards in connection with this Promotion shall be limited to only the actual out-of-pocket costs incurred with entering this Promotion, and in no event may any attorneys’ fees be claimed, included, or awarded. NEITHER MAAST, LLC NOR ANY OF ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THIS PROMOTION. THE PRIZES PROVIDED IN CONNECTION WITH THIS PROMOTION ARE PROVIDED "AS IS" AND MAAST, LLC MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY AS TO MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WHETHER ARISING BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE, EACH OF WHICH ARE EXPRESSLY DISCLAIMED.
11. Severability. If any provision or part of these Official Rules is found by a court of competent jurisdiction to be totally or partially invalid, illegal, or unenforceable, then the provision will be deemed to be modified or restricted to the extent and in the manner necessary to make it valid, legal or enforceable, or, if unable to be so modified or restricted, it will be excised from these Official Rules without affecting any other provision of these Official Rules, which will be enforced to the maximum extent provided by law as if the modified or restricted provision was originally included or as if the excised provision was originally excluded.
12. Governing Law / Venue: These Official Rules shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws principles. Any legal suit, action or proceeding arising out of or related to these Official Rules or the matters contemplated hereunder shall be brought in and each party irrevocably submits itself to the exclusive jurisdiction of the state and federal courts of the State of Georgia sitting in Muscogee County, Georgia. The parties hereby irrevocably waive and agree not to assert by way of motion, as a defense or otherwise in any such action or proceeding, any claim that such party is not personally subject to the jurisdiction of the state or federal court sitting in Muscogee County, Georgia, that such action or proceeding is brought in an inconvenient forum, that the venue of such action or proceeding is improper or that the Agreement may not be enforced in or by such state or federal court sitting in Muscogee County, Georgia.
13. Promoter: You Are Here, LLC (the "Promoter") is assisting Synovus Bank with conducting the drawing for this promotion. This Promotion is not sponsored, endorsed, promoted, administered, or operated by Apple Inc., Sony Interactive Entertainment LLC, or Sony Interactive Entertainment Inc.
14. Release of liability: Maast, LLC, its affiliates, and each of their respective divisions, subsidiaries, parent companies, affiliate companies, and all of their respective employees, officers, directors, representatives and agents shall have no liability and will be released, discharged, and indemnified and held harmless from and against any and all actions, claims, losses, damages, expenses, injuries, liability, loss or damage due, in whole or in part, directly or indirectly, to the operation of or participation in this promotion or the receipt, acceptance, possession, use or misuse, ownership, operation, repair, or maintenance of the prize, or any breach of warranty in connection with the prize.
